NON-EXCLUSIVE LICENSE AGREEMENT
CAREFULLY READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT. BY DOWNLOADING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT AND ARE BECOMING A PARTY TO THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT DOWNLOAD THE SOFTWARE.
USE
Allen-Bradley Company, LLC (hereinafter "A-B") grants you (the user) a non-exclusive, non-transferable, royalty-free license to download and use the DriveExplorerDemo software (hereinafter "Software"), subject to the following conditions:
RESTRICTIONS
You may not alter, merge, modify, adapt, reverse engineer, replicate or attempt to decipher the Software in any way. You may not sell, lease, rent, license or otherwise transfer the Software for the use of others. By accepting this license, you are only licensed to use the Software personally and to download and save it on your own personal computer.
INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights in the Software and user documentation are owned by A-B or its affiliates and are protected by United States intellectual property laws and international treaty provisions. A-B retains all rights not expressly granted.
EXPORT CONTROLS
None of the Software or accompanying documentation or technology may be downloaded or otherwise exported or reexported (1) into any country to which the U.S. has embargoed goods or for which export is otherwise restricted; or (2) to anyone listed in the U.S. Export Administration Regulations. By downloading or using the Software or any portion thereof, you are agreeing to the foregoing and you are representing and warranting that you are not located in, under the control of, or a national or resident of any such country or on any such list.
LIMITED WARRANTY
THE SOFTWARE IS PROVIDED WHOLLY "AS IS" WITHOUT WARRANTY, REPRESENTATION, PROMISE OR GUARANTEE OF ANY KIND, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES AS TO QUALITY, PERFORMANCE, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, OR ANY WARRANTY AGAINST INFRINGEMENT. YOUR USE OF THE SOFTWARE IS ENTIRELY AT YOUR OWN RISK.
A-B MAKES NO WARRANTY, REPRESENTATION, PROMISE OR GUARANTEE, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE SOFTWARE, USER DOCUMENTATION OR RELATED TECHNICAL SUPPORT, INCLUDING ITS QUALITY, PERFORMANCE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
THE WARRANTY AND REMEDIES SET FORTH HEREIN ARE EXCLUSIVE AND IN LIEU OF ALL OTHERS, ORAL OR WRITTEN, EXPRESS OR IMPLIED. NO A-B DEALER, DISTRIBUTOR, AGENT OR EMPLOYEE IS AUTHORIZED TO MAKE ANY MODIFICATION OR ADDITION TO THIS WARRANTY. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE OR FROM PROVINCE TO PROVINCE.
LIMITATION OF LIABILITY
BECAUSE THE SOFTWARE IS INHERENTLY COMPLEX AND MAY NOT BE COMPLETELY FREE OF ERRORS, IT IS YOUR RESPONSIBILITY TO VERIFY YOUR WORK AND TO MAKE BACKUP COPIES. A-B WILL NOT BE RESPONSIBLE FOR YOUR FAILURE TO DO SO. IN NO EVENT WILL A-B BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, TORT, ECONOMIC, COVER OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, INCLUDING, WITHOUT LIMITATION, DAMAGES OR COSTS RELATING TO DEATH, INJURY, LOSS OF PROFITS, BUSINESS, GOODWILL, DATA OR EQUIPEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
RIGHTS RESERVED
While A-B distributes or plans to distribute at a future date a commercial release of this Software, A-B reserves the right at any time not to release a commercial release of the Software or, if released, to alter prices, features, specifications, capabilities, functions, licensing terms, release dates, general availability or other characteristics of the commercial release.
TERMINATION
This License is effective until terminated. A-B reserves the right to terminate this License at any time upon notification to the user and the user may terminate this License at any time by destroying all copies of the Software including any accompanying documentation. This License will terminate immediately without notice by A-B if the user fails to comply with any provision of this License. Upon termination, the user must destroy all copies of the Software including any accompanying documentation.
GOVERNING LAW
This license shall be governed by the laws of Wisconsin, U.S.A. A-B reserves the right to invoke the local laws of such country or territory where its intellectual property rights are being infringed.
SEVERABILITY
If any of the above provisions are held to be in violation of applicable law, void, or unenforceable in any jurisdiction, then A-B reserves the right to revise or delete such provisions to the extent necessary to render this license in accordance with the applicable laws.
INTEGRATION
This License is the entire agreement between the user and A-B relating to the Software and supersedes all prior or contemporaneous oral or written communications, proposals and representations with respect to its subject matter. No modifications to this License will be binding, unless in writing and signed by a duly authorized representative of each party.
